Terms and Conditions

These Terms and Conditions govern access to and use of the 5HC website, marketplace, coaching, and related services. By using 5HC, you agree to these Terms.

Eligibility

You must be at least 18 years old and able to form a binding contract to use 5HC. If you use 5HC on behalf of an organization, you represent that you have authority to bind that organization.

5HC Services

5HC provides access to AI coaching, expert matching, workflow guidance, and related services. 5HC does not guarantee a specific business outcome, revenue result, productivity result, or AI model performance.

Experts may be independent contractors or third-party providers. Their views, recommendations, and deliverables are their own unless expressly stated otherwise.

Accounts

You are responsible for maintaining the confidentiality of your account credentials and for activity under your account. You agree to provide accurate information and promptly update it if it changes.

You must notify 5HC if you believe your account has been compromised.

Acceptable Use

You agree not to:

Violate law, contracts, intellectual property rights, privacy rights, or security rights.
Submit malicious code, spam, deceptive content, or abusive material.
Interfere with, scrape, reverse engineer, or disrupt the service.
Use 5HC to process information you do not have the right to use.
Upload highly sensitive, regulated, or confidential information unless you have authority and the disclosure is appropriate.
Use outputs or coaching materials in a way that violates third-party rights or applicable law.

AI And Professional Judgment

5HC helps clients use AI tools and workflows more effectively. AI systems can produce inaccurate, incomplete, biased, or unsuitable outputs. You are responsible for reviewing, testing, and validating any AI-assisted work before relying on it.

5HC does not provide legal, medical, financial, tax, employment, or other regulated professional advice unless expressly agreed in a separate written agreement with properly qualified providers.

Fees And Payments

Paid services, credits, packages, subscriptions, or bookings may be subject to additional pricing, refund, cancellation, and scheduling terms presented at purchase or in a separate agreement.

You authorize 5HC and its payment providers to process payments, taxes, and related charges for services you purchase.

Intellectual Property

5HC and its licensors retain all rights in the website, brand, software, designs, documentation, templates, and platform materials.

Subject to your compliance with these Terms and payment of applicable fees, you may use deliverables provided to you for your internal business purposes unless a separate agreement states otherwise.

You retain ownership of materials you provide to 5HC, subject to the rights needed for 5HC and its providers to deliver, support, secure, and improve the services.

Confidentiality

Each party may receive nonpublic information from the other. The receiving party will use reasonable care to protect confidential information and use it only for the purpose of providing or receiving the services, except as required by law or permitted in writing.

Third-Party Services

5HC may integrate with third-party services for hosting, authentication, email, payments, scheduling, analytics, and AI functionality. Third-party services are governed by their own terms and policies, and 5HC is not responsible for third-party services outside its control.

Disclaimers

5HC is provided on an as-is and as-available basis. To the maximum extent permitted by law, 5HC disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted operation.

Limitation Of Liability

To the maximum extent permitted by law, 5HC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities.

To the maximum extent permitted by law, 5HC's aggregate liability for claims arising out of or related to the services will not exceed the amount you paid to 5HC for the services giving rise to the claim in the three months before the event giving rise to liability.

Indemnity

You agree to defend, indemnify, and hold harmless 5HC from claims, damages, liabilities, costs, and expenses arising from your use of the services, your content, your violation of these Terms, or your violation of law or third-party rights.

Suspension And Termination

5HC may suspend or terminate access to the services if you violate these Terms, create risk for the service or other users, fail to pay amounts due, or if continued access would be unlawful or commercially impractical.

Changes

5HC may update these Terms from time to time. Updated Terms will be posted with a new last updated date. Continued use after changes become effective means you accept the updated Terms.

Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules, unless a separate written agreement states otherwise.
